Terms of Service

Draft for legal review. This document is a comprehensive draft prepared for HomesRun. It is not legal advice and has not yet been reviewed by a licensed attorney. HomesRun must have it reviewed and approved by qualified counsel before relying on it.

These Terms of Service (the “Terms”) are a binding agreement between you and HomesRun (“HomesRun,” “we,” “us,” or “our”) and govern your access to and use of the HomesRun application, websites, and related services (together, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

1. The Service

HomesRun is a software-as-a-service platform for managing one or more homes in a single place. It helps you organize property records, tasks, checklists, documents, bills, contractors, and home access information; receive reminders and alerts; connect financial accounts to track home-related spending; and use an AI assistant that answers questions and produces suggestions about your homes.

We may add, change, suspend, or remove features of the Service at any time. The Service is a tool to help you organize and stay informed; it does not replace your own judgment, professional advisors, or the physical upkeep and security of your property.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account you must provide accurate information and keep it current. An account belongs to an organizing “account” (for example, a household) and may have one or more members with different roles and permissions.

You are responsible for all activity under your account and for keeping your password and any access credentials confidential. You must notify us promptly at support@homesrun.com if you suspect unauthorized use of your account. You are responsible for the conduct of every member you invite to your account and for ensuring they comply with these Terms.

3. Acceptable Use

You agree that you will not, and will not permit anyone to:

  • use the Service in violation of any applicable law or regulation, or to store or transmit unlawful, infringing, or harmful content;
  • upload or store information about a property, person, or financial account that you do not have the right to manage or share;
  • access another account, or attempt to bypass the Service’s authentication, access controls, or tenant isolation;
  • probe, scan, overload, or disrupt the Service or its infrastructure, or attempt to reverse engineer or extract its source code except as permitted by law;
  • use automated means to access the Service in a way that degrades it for others, or resell or sublicense the Service without our written permission;
  • use the Service to develop a competing product, or use the AI features to train a competing model.

We may investigate suspected violations and may suspend or terminate access to protect the Service or its users.

4. Your Content

You retain ownership of the information, documents, codes, and other material you submit to the Service (“Your Content”). You grant HomesRun a limited, non-exclusive license to host, process, transmit, display, and back up Your Content solely to operate, secure, and improve the Service and to provide it to you and the members of your account.

You are responsible for the accuracy, quality, and legality of Your Content and for having the rights necessary to submit it. You are responsible for maintaining your own copies of important information; the Service is not a system of record of last resort.

5. Sensitive Information

The Service includes a vault for home access information such as gate, alarm, and lockbox codes, and lets you connect financial accounts. You choose what to store and which financial accounts to connect. You acknowledge that storing access codes and connecting financial accounts carries inherent risk, and you agree to use these features with appropriate care, to keep your own credentials secure, and to remove information that is no longer accurate. We describe how this information is handled in our Privacy Policy.

6. Artificial Intelligence Features

The Service uses artificial intelligence to answer questions, generate summaries, surface reminders and alerts, and make suggestions about your homes. AI output can be incomplete, inaccurate, outdated, or wrong, and reminders or alerts may be delayed, missed, or not delivered. AI output is not professional advice. You must not rely on it for legal, financial, tax, insurance, safety, structural, or emergency decisions, and you should independently verify anything important before acting on it.

You are solely responsible for decisions you make and actions you take or do not take based on the Service, including any reliance on a reminder, alert, or AI-generated suggestion.

7. Subscriptions, Billing, and Trials

Some features of the Service require a paid subscription. When you subscribe, you agree to the price and billing period presented at checkout. Subscriptions renew automatically at the end of each billing period at the then-current rate until you cancel.

  • Authorization. You authorize us and our payment processor to charge your payment method for the subscription and any applicable taxes on each renewal.
  • Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused features.
  • Price changes. We may change subscription prices. We will give you advance notice, and the new price applies to the billing period after the notice. Continuing to use a paid plan after the change takes effect is your acceptance of the new price.
  • Trials. If we offer a free trial, we will tell you its length. Unless you cancel before the trial ends, it converts to a paid subscription and your payment method is charged.
  • Non-payment. If a charge fails, we may suspend or downgrade access to paid features until payment is resolved.

8. Third-Party Services

The Service relies on third parties to provide features such as bank connections, messaging, email delivery, and AI processing, and may link to or interoperate with other third-party products. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Our sub-processors are listed in our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, HomesRun disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or available at any particular time; that reminders, alerts, notifications, or messages will be delivered or delivered on time; that AI output will be accurate, complete, or current; or that the Service will detect or prevent any problem with your home, finances, or property. The Service does not provide security monitoring, emergency response, or professional advice, and is not a substitute for any of them.

10. Limitation of Liability

To the fullest extent permitted by law, HomesRun and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or property, arising out of or relating to the Service, even if advised of the possibility of such damages. This includes, without limitation, any loss or damage resulting from a missed, delayed, or undelivered reminder, alert, or notification; from inaccurate or incomplete AI output; from reliance on the Service; from unauthorized access to access codes or financial information; or from any property damage, loss, or security incident.

In all cases, the total aggregate liability of HomesRun arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid HomesRun for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless HomesRun and its officers, directors, employees, and suppliers from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, if your account is non-paying, or if we discontinue the Service. On termination, your right to use the Service ends. We may delete Your Content after termination in accordance with our Privacy Policy; you are responsible for exporting anything you wish to keep before your account is closed. The sections of these Terms that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will update the “Last updated” date and provide reasonable notice, for example by email or an in-app notice. Changes take effect when posted unless stated otherwise. By continuing to use the Service after a change takes effect, you accept the updated Terms; if you do not agree, you must stop using the Service.

14. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of [STATE / JURISDICTION TO BE DETERMINED BY HOMESRUN WITH COUNSEL], without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in [VENUE TO BE DETERMINED BY HOMESRUN WITH COUNSEL] for any dispute not subject to another agreed dispute-resolution process.

15. General

These Terms, together with the Privacy Policy and any order or plan you accept, are the entire agreement between you and HomesRun about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
